Terms of Service

1. Agreement

By engaging The Media Tree LLP (“we”, “our”, “us”) for any services, accessing our website, or submitting a project enquiry, you (“Client”) agree to these Terms of Service. These terms govern all work undertaken between The Media Tree LLP and the Client.

2. Services

We provide the following digital services:

• Brand identity and logo design
• UI/UX design and Figma prototyping
• Website and web application development (Next.js, React, WordPress, WooCommerce)
• Animation and interaction design
• Platform migration (WordPress, Shopify, legacy stacks)
• Ongoing maintenance and support
• Technology consultation

The exact scope of work for each engagement is defined in a written Project Agreement or Statement of Work.

3. Project Process & Timeline

Projects typically proceed through our five-step framework: Brand Foundation, Planning & Design, Digital Development, Interactions & Testing, and Launch & Support. Timelines are estimated in the Project Agreement and are contingent upon timely feedback and content delivery by the Client. Delays caused by the Client do not constitute a breach by The Media Tree LLP.

4. Payment Terms

Unless otherwise agreed in writing:

• A 50% deposit is required before work commences
• The remaining 50% is due upon project completion, prior to final delivery
• Ongoing maintenance and retainer agreements are billed monthly in advance
• Invoices unpaid after 14 days may attract a late fee of 2% per month

All prices are in Indian Rupees (INR) unless otherwise stated. GST is applicable where required by law.

5. Intellectual Property

Upon receipt of full payment:

• The Client receives full ownership of all custom-designed and developed deliverables
• The Media Tree LLP retains the right to display the completed work in our portfolio unless otherwise agreed in writing
• Third-party assets (stock photos, fonts, plugins) remain subject to their respective licences — the Client is responsible for obtaining appropriate licences
• Any open-source code used remains under its original licence

6. Client Responsibilities

The Client agrees to:

• Provide accurate and complete content, assets, and feedback in a timely manner
• Ensure they have the rights to all content and assets they provide
• Not use our deliverables for unlawful, harmful, or deceptive purposes
• Keep project credentials (hosting, domain, API keys) secure

7. Revisions & Scope Changes

Each project phase includes a defined number of revision rounds as specified in the Project Agreement. Requests that fall outside the agreed scope — whether additional pages, new features, or significant design changes — will be quoted separately and billed accordingly.

8. Confidentiality

Both parties agree to keep the other's confidential business information private and not to disclose it to third parties without prior written consent. This obligation survives termination of the agreement.

9. Termination

Either party may terminate a project agreement with 14 days' written notice. Upon termination, the Client is liable for payment of all work completed to date. The Media Tree LLP will deliver all completed work files upon receipt of final payment.

10. Limitation of Liability

To the fullest extent permitted by law, The Media Tree LLP shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables, including but not limited to loss of revenue, data, or business opportunities. Our total liability in any matter is limited to the total fees paid by the Client for the relevant project.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.
